Term
· At the discretion of the Member Club of the trail Conference
Responsibilities
· Delegates are expected to attend 3 meetings each year. These meeting provide an excellent opportunity to hear the latest trail news, discuss various trail maintenance & conservation issues & to decide the future direction of Conference activities and services. During the course of the year, delegates are advised of Conference activities and issues and vote for the Board of Director’s officer slate.
Regular Meetings:
· Regular meetings of the Conference shall be held at times and places determined by the Board, provided that an annual meeting is held in Sept or Oct, and that at least 2 other regular meetings are held each year. A regular meeting is one at which members attend to the business of the Conference as specified by the bylaws. Election of the Board shall take place at the annual meeting. All regular meetings are open to the public.
Special Meetings:
· Special meetings of the Conference shall be called by the Board within 45 days of receipt of a written request signed by 5 members of the Board or by one-third of the Delegates. No other business but that specified in the notice may be transacted at special meetings without the unanimous consent of all Delegates present. All special meetings are open to the public.
Meeting Notices:
· The date, time and place of meetings shall be published in the official publication of the Conference not less than 45 days prior to said meeting, and sent by mail or Email at least 25 days in advance of the meeting to all Delegates. Special meeting notices must also include the purpose of the meeting.
Quorum:
· One-sixth of the persons entitled to vote shall constitute a quorum at any meeting. If a quorum is not present at any meeting of members, a majority of voting members present may adjourn the meeting or choose to continue discussion but not conduct business.
